Terms and conditions

The following terms and conditions have been expanded from the model terms and conditions of the Chartered Institute of Editing and Proofreading.

 

  1. These terms and conditions apply to any work done for the Client by GSB Editorial Services.

  2. The Client is under no obligation to offer GSB Editorial Services work; neither is GSB Editorial Services under any obligation to accept work offered by the Client.

  3. GSB Editorial Services will provide services as mutually agreed and confirmed in writing by the Client.

  4. By acceptance of GSB Editorial Services’ project quotation and the ensuing payment for the agreed services, the Client confirms agreement to these terms and conditions.

  5. The work will be carried out unsupervised at such times and places as determined by GSB Editorial Services and using its own equipment.

  6. Gary Blogg, on behalf of GSB Editorial Services, confirms that he is self-employed, is responsible for his own income tax and National Insurance contributions, and will not claim benefits granted to the Client’s employees. GSB Editorial Services does not charge VAT for its services.

  7. GSB Editorial Services agrees to attend the Client’s or other premises for necessary meetings; time spent travelling/attending and other agreed reasonable expenses incurred to be reimbursed by the Client.

  8. The Client will reimburse GSB Editorial Services for agreed reasonable expenses over and above usual expenses incurred in the process of editorial work.

  9. The Client will pay GSB Editorial Services a fee per hour, or per word count, or per printed page, or an agreed flat fee for the job. Please note that there may be a minimum charge for small project works.

  10. The completed work will be delivered on or before the date agreed and for the agreed fee, which will be based on the description of the work required and the brief, both supplied by the Client. GSB Editorial Services has the right to reschedule the work if the Client’s instruction to proceed and/or if the original work is submitted later than the agreed start date.

  11. If, however, upon receipt of the item to be worked on or at an early stage it becomes apparent that significantly more work is required than had been anticipated in the preliminary discussion/brief, GSB Editorial Services may renegotiate the fee and/or the deadline.

  12. Similarly, if, during the term of GSB Editorial Services’ work, additional tasks are requested by the Client, GSB Editorial Services may renegotiate the fee and/or the deadline.

  13. Any content created by GSB Editorial Services as part of the editorial work will become the copyright of the Client, unless otherwise agreed. Title (legal ownership) of the agreed work will pass to the Client only after full payment has been received by GSB Editorial Services.

  14. The nature and content of the work will be kept confidential and not made known to anyone other than the Client and its contractors without prior written permission.

  15. GSB Editorial Services guarantees that any work that it subcontracts on behalf of the Client will be completed to the same standard, schedule and budget and with the same conditions of confidentiality.

  16. If GSB Editorial Services’ work is unsatisfactory, GSB Editorial Services will rectify it in its own time and at its own expense.

  17. For all work, payment in full shall be made with acceptance of GSB Editorial Services' project quotation and in advance of the work - unless otherwise agreed at the outset.

  18. If the project is lengthy and is to be completed in stages, GSB Editorial Services may invoice periodically for stages completed. Payment will be made within a maximum of 30 days of receipt of GSB Editorial Services’ invoice, according to the Late Payment of Commercial Debts (Interest) Act 1998.

  19. The Client has the right to cancel the work at any time before the work has commenced and at no charge. If the work has begun, then payment is normally non-refundable. Requests for refunds are at the sole discretion of GSB Editorial Services and will be given only under exceptional circumstances.

  20. Either the Client or GSB Editorial Services has the right to terminate a contract for services if there is a serious breach of its terms e.g. non-payment, libellous or offensive content, illegal acts.

  21. GSB Editorial Services will not rewrite of make any changes to any document that may be seen to constitute the act of plagiarism or contain libellous content. Avoiding such issues is the responsibility of the Client.

  22. GSB Editorial Services accepts no liability for any losses or damages incurred by the Client, including indirect or consequential losses, damages or any loss of data or profits.

  23. GSB Editorial Services shall not be liable for any circumstances beyond its reasonable control, i.e. events that constitute force majeure.

  24. The information that the Client and GSB Editorial Services may keep on record is covered by the terms of the General Data Protection Regulation (GDPR). No more such information will be held than is necessary, at any time, to comply with those terms and with any compliance statement or privacy policy published by the Client and/or GSB Editorial Services. Both the Client and GSB Editorial Services agree that, where consent is required to hold or process such data, such consent has been requested and obtained and both facts can be demonstrated. Either may view the other’s records to ensure that they are relevant, correct and up to date.

  25. If GSB Editorial Services has made a substantial contribution to the editorial work, it will be entitled to receive one free copy of the work.

  26. It is the Client’s responsibility to ensure that it retains a copy of its original work.

  27. GSB Editorial Services may use the Client’s name in its promotional material.

  28. GSB Editorial Services will try to ensure that the work returned is free from viruses. However, no warranties or guarantees are provided against such viruses and any loss or damage they may cause. It is the Client’s responsibility to check all files, etc., both before sending them to GSB Editorial Services or before accessing the returned files.

  29. These terms and conditions are subject to the laws of England and Wales, and both GSB Editorial Services and the Client agree to submit to the jurisdiction of the English and Welsh courts.
